TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms of Service constitute a legally binding agreement between you (referred to as "Client," "you," or "your") and Vegas Fine Homes (referred to as "Vegas Fine Homes," "we," "us," or "our"). By engaging our services, scheduling consultations, or accessing any information or materials provided by Vegas Fine Homes, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree to these terms in their entirety, you must immediately discontinue use of our services and refrain from entering into any agreements with Vegas Fine Homes.

These Terms of Service apply to all clients, prospective clients, and parties interacting with Vegas Fine Homes in any capacity related to luxury residential real estate services in the Las Vegas area.

2. SERVICE DESCRIPTION

Vegas Fine Homes specializes in luxury and high-end residential real estate representation exclusively within the Las Vegas market. Our services include, but are not limited to:

Luxury Buyer Representation: Comprehensive representation for clients seeking to purchase luxury residential properties, including property identification, market analysis, viewing coordination, due diligence support, and transaction facilitation.

High-End Listing Strategy: Strategic marketing and representation services for sellers of luxury residential properties, including property valuation, marketing plan development, professional presentation, market positioning, and buyer procurement.

Discrete Negotiation & Advisory: Confidential consultation and negotiation services for high-net-worth individuals requiring privacy-focused transaction management, strategic advisory on luxury real estate investments, and discreet handling of sensitive transactions.

Vegas Fine Homes reserves the right to accept or decline representation of any client or property at our sole discretion. Our services are provided on a case-by-case basis and are subject to formal representation agreements executed separately from these Terms of Service.

The information, advice, and materials provided by Vegas Fine Homes are intended for informational purposes and do not constitute financial, tax, legal, or investment advice unless specifically stated in a written advisory agreement.

3. USER OBLIGATIONS

By engaging Vegas Fine Homes services, you agree to:

Provide accurate, complete, and current information regarding your real estate needs, financial qualifications, timeline, and any other relevant factors affecting the transaction.

Respond promptly to communications from Vegas Fine Homes representatives and provide requested documentation within reasonable timeframes.

Maintain confidentiality regarding proprietary marketing strategies, property information, negotiation positions, and other sensitive information shared by Vegas Fine Homes.

Act in good faith throughout the representation period and notify Vegas Fine Homes immediately of any changes to your circumstances, intentions, or ability to proceed with a transaction.

Comply with all applicable local, state, and federal laws and regulations related to real estate transactions.

Refrain from circumventing or attempting to circumvent Vegas Fine Homes representation by directly contacting or negotiating with parties introduced to you through our services without our involvement.

Maintain the confidentiality of other clients and respect the privacy standards that Vegas Fine Homes upholds for all parties.

Notify Vegas Fine Homes of any conflicts of interest, dual agency situations, or relationships with other parties that may affect the representation.

4. APPOINTMENT SCHEDULING AND CANCELLATIONS

Initial consultations with Vegas Fine Homes are conducted by appointment only. To schedule a consultation, please contact us at Ivy.Marshall@vegasfinehomes.com.

Appointment Confirmation: All appointments must be confirmed at least 48 hours in advance. Vegas Fine Homes reserves the right to request verification of identity and financial qualifications prior to scheduling consultations.

Cancellation Policy: Clients must provide at least 24 hours advance notice for cancellation or rescheduling of any appointment. Failure to provide adequate notice may result in cancellation fees or limitation of future scheduling privileges.

Property Showings: Scheduled property viewings require at least 48 hours advance notice for cancellation. Multiple cancellations or no-shows may result in suspension of showing services until the client demonstrates renewed commitment to the property search process.

Travel and Accommodation Costs: For clients requiring property tours that involve significant travel arrangements, accommodation bookings, or coordination of multiple parties, cancellations with less than 72 hours notice may result in charges for non-refundable expenses incurred by Vegas Fine Homes.

Vegas Fine Homes reserves the right to cancel or reschedule appointments due to circumstances beyond our control, including but not limited to property availability changes, weather conditions, or emergency situations.

5. PAYMENT TERMS

Compensation Structure: Vegas Fine Homes compensation is typically derived from commissions paid by sellers in accordance with standard real estate industry practices and Multiple Listing Service (MLS) agreements. Specific commission rates and payment terms will be outlined in formal representation agreements.

Buyer Representation Fees: In certain circumstances, buyer representation may involve separate fee agreements, retainer arrangements, or compensation structures outside of seller-paid commissions. Such arrangements will be clearly documented in written agreements prior to service commencement.

Listing Services: Sellers engaging Vegas Fine Homes for listing representation agree to commission structures as outlined in the listing agreement. Commission rates are negotiable and will be clearly specified in the executed listing contract.

Advisory Services: Discrete negotiation and advisory services may be provided on a retainer basis, hourly fee structure, or flat-fee arrangement depending on the scope of services required. Payment terms for advisory services will be established in separate consulting agreements.

Additional Expenses: Clients may be responsible for certain out-of-pocket expenses including but not limited to professional photography, staging services, premium marketing materials, property inspections, appraisals, and legal document preparation unless otherwise specified in the representation agreement.

Payment Terms: Unless otherwise specified, all fees and expenses are due within 30 days of invoice date. Late payments may incur interest charges at the rate of 1.5 percent per month or the maximum rate permitted by law, whichever is lower.

Non-Refundable Payments: Retainer fees and certain marketing expenses are non-refundable once services have commenced, except as may be specifically provided in the representation agreement.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Vegas Fine Homes, its agents, employees, affiliates, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services, including but not limited to:

Loss of profits, revenue, or business opportunities resulting from real estate transactions or failure to complete transactions.

Property value fluctuations, market condition changes, or investment performance.

Decisions made by clients based on information or advice provided by Vegas Fine Homes.

Actions or omissions of third parties including but not limited to other brokers, sellers, buyers, lenders, inspectors, appraisers, contractors, or legal professionals.

Inaccuracies in property descriptions, disclosures, public records, or MLS data provided by third parties.

Failure to close transactions due to financing issues, inspection results, title problems, or other circumstances beyond Vegas Fine Homes control.

Any damages arising from unauthorized access to or alteration of your communications or data.

Vegas Fine Homes aggregate liability for any claims arising from or related to our services shall not exceed the total compensation actually received by Vegas Fine Homes from the client for the specific transaction giving rise to the claim.

These limitations apply regardless of the legal theory upon which any claim is based, including breach of contract, tort, negligence, strict liability, or any other basis, and apply even if Vegas Fine Homes has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

7. WARRANTY DISCLAIMERS

Vegas Fine Homes provides professional real estate services using reasonable care and skill consistent with industry standards. However, except as expressly stated in writing, all services are provided "as is" and "as available" without warranties of any kind, either express or implied.

Vegas Fine Homes specifically disclaims all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any warranty that our services will meet your specific requirements or expectations.

Any warranty regarding the outcome of real estate transactions, including successful purchase, sale, or achievement of particular prices or terms.

Any warranty regarding property conditions, valuations, investment potential, future appreciation, rental income potential, or suitability for particular purposes.

Any warranty regarding the accuracy, completeness, or reliability of information obtained from third parties, including MLS data, public records, property disclosures, appraisals, or inspections.

Any warranty that properties shown or listed are free from defects, liens, encumbrances, or legal issues.

Market Analysis and Projections: Any market analyses, price opinions, comparative market analyses, or projections provided by Vegas Fine Homes are opinions based on available data and professional judgment. These are not guarantees of actual market performance, achievable prices, or investment returns.

Third-Party Information: Vegas Fine Homes relies on information provided by sellers, other brokers, public records, MLS databases, and other third-party sources. While we make reasonable efforts to verify information, we do not warrant the accuracy or completeness of such information.

Property Inspections: Clients are strongly advised to conduct independent inspections, appraisals, and due diligence on any property. Vegas Fine Homes is not responsible for identifying defects, code violations, environmental hazards, or other property issues.

Legal and Financial Advice: Vegas Fine Homes does not provide legal, tax, or financial advice. Clients are encouraged to consult with appropriate licensed professionals for such matters.

8. GOVERNING LAW

These Terms of Service and any disputes arising from or related to your relationship with Vegas Fine Homes shall be governed by and construed in accordance with the laws applicable to the jurisdiction where the services are provided and where the properties are located, without regard to conflict of law principles.

Any legal action or proceeding arising from or related to these Terms of Service or your use of Vegas Fine Homes services must be brought exclusively in courts of competent jurisdiction for the area where services are rendered.

By engaging Vegas Fine Homes services, you irrevocably consent to the jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

Arbitration: Any disputes, claims, or controversies arising from or relating to these Terms of Service or Vegas Fine Homes services may be subject to binding arbitration as specified in the formal representation agreement, if applicable.

Severability: If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Vegas Fine Homes failure to assert any right or provision shall not constitute a waiver of such right or provision.

9. INTELLECTUAL PROPERTY

All content, materials, marketing strategies, property presentations, photographs, videos, written materials, branding elements, and other intellectual property created or provided by Vegas Fine Homes remain the exclusive property of Vegas Fine Homes.

Clients are granted a limited, non-exclusive, non-transferable license to use materials provided specifically for their transaction. This license terminates upon completion or termination of the representation relationship.

Clients may not reproduce, distribute, modify, display, or create derivative works from Vegas Fine Homes materials without express written permission.

Property photographs, marketing materials, and presentations created for listings may be used by Vegas Fine Homes for promotional purposes, portfolio display, and marketing of our services unless the client specifically requests confidentiality in writing.

10. CONFIDENTIALITY AND PRIVACY

Vegas Fine Homes recognizes that many clients require the utmost discretion in their real estate transactions. We maintain strict confidentiality standards regarding:

Client identity and transaction details, except as required by law or professional regulations.

Financial information and qualification details provided by clients.

Property search criteria, investment strategies, and negotiation positions.

Confidential information shared during the course of representation.

However, certain information must be disclosed as required by law, including compliance with anti-money laundering regulations, reporting requirements, MLS rules, and disclosure obligations imposed by real estate licensing laws.

Vegas Fine Homes collects and uses personal information in accordance with applicable privacy laws. By engaging our services, you consent to the collection, use, and disclosure of your information as necessary to provide real estate services, including sharing information with other real estate professionals, lenders, title companies, and other transaction participants.

11. PROFESSIONAL LICENSING AND STANDARDS

Vegas Fine Homes operates in compliance with all applicable real estate licensing laws and regulations. Our agents are licensed real estate professionals subject to professional standards and ethical obligations.

Clients acknowledge that real estate agents have legal and ethical obligations that may include:

Duty to disclose material facts affecting property value or desirability.

Obligation to present all offers to sellers.

Responsibility to comply with fair housing laws and anti-discrimination statutes.

Requirements to disclose agency relationships and potential conflicts of interest.

These professional obligations may at times supersede client preferences, and Vegas Fine Homes commitment to legal and ethical standards is non-negotiable.

12. TERMINATION

Either party may terminate the representation relationship in accordance with the terms specified in the formal representation agreement.
